These Terms of Service ("Terms") constitute a legally binding agreement between you and Mudimedia Software ("Company," "we," "our," or "us") regarding your use of our website, services, and software solutions. By accessing or using our services, you agree to be bound by these Terms.

Mudimedia Software provides professional software development services, including but not limited to:

- Mobile application development (iOS and Android)

- Technical consulting and support
Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

- Reverse engineer, decompile, or disassemble our software
- Transmit harmful code, viruses, or malware
- Interfere with the normal operation of our services

Intellectual Property Rights
Unless otherwise specified in a separate agreement:
- Our IP: All intellectual property rights in our website, software, and proprietary methodologies remain with Mudimedia Software
- Client IP: Clients retain ownership of their business data, content, and pre-existing intellectual property
- Work Product: Rights to custom software developed for clients are governed by individual project contracts
- Third-Party IP: We respect third-party intellectual property rights and expect clients to do the same
Service Agreements and Payments
Specific terms for software development projects are outlined in individual service agreements, which may include:
- Project scope, timeline, and deliverables
- Payment terms, schedules, and late fees
- Change request procedures
- Acceptance criteria and testing procedures
- Support and maintenance terms
- Intellectual property ownership arrangements
Confidentiality
We understand the sensitive nature of business information shared during software development projects. We maintain strict confidentiality of client information and may execute separate Non-Disclosure Agreements (NDAs) as required. We implement appropriate technical and organizational measures to protect confidential information from unauthorized access or disclosure.
Warranties and Disclaimers
We provide our services "as is" and make the following commitments and disclaimers:
- Professional Standards: We will perform services with professional skill and care
- Warranty Period: Custom software includes a warranty period as specified in individual contracts
- No Warranty: We disclaim all other warranties, express or implied, including merchantability and fitness for purpose
- Third-Party Services: We are not responsible for third-party services or software components
Limitation of Liability
To the maximum extent permitted by law, Mudimedia Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claims related to our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Mudimedia Software from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
Termination
Either party may terminate services under the following conditions:
- For Convenience: With appropriate notice as specified in individual service agreements
- For Cause: Immediately upon material breach of terms that remains uncured
- Effect of Termination: Client obligations survive termination, including payment for completed work
- Data Return: We will return or destroy client data as specified in the service agreement
Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales for our London operations and Turkish law for our İzmir operations, as applicable to the specific service agreement. Any disputes shall be resolved through appropriate legal channels in the respective jurisdictions.
Changes to Terms
We reserve the right to update these Terms of Service at any time. Material changes will be communicated to active clients through appropriate channels. Continued use of our services after changes constitutes acceptance of the updated Terms.
